Terms of Service

Effective Date: January 1, 2026

These Terms of Service ("Terms") govern your use of missouriregisteredagent.co (the "Site") and the registered agent services ("Services") offered by Missouri Registered Agent.co ("we," "us," or "our"). Using our Site or Services means you agree to these Terms.

1. Our Services

Missouri Registered Agent.co provides registered agent services for entities filed with the Missouri Secretary of State:

• Maintaining a physical Missouri registered office address
• Accepting service of process and official documents during business hours
• Scanning and forwarding documents electronically, typically the same business day
• Providing secure online portal access for document management
• Sending compliance alerts when filing situations affect your entity

2. Who Can Use Our Services

You must be at least 18 and have authority to act on behalf of the business entity you enroll. You must provide accurate, current information and update it if anything changes.

3. Pricing

Service costs $99 per year. The term starts on your enrollment date and renews annually unless cancelled. We may adjust pricing with at least 30 days notice before your next renewal.

4. Payment

Payment is collected at enrollment and each annual renewal. We accept credit cards and other methods displayed at checkout. If renewal payment fails, we notify you and may suspend Services after 15 days without successful payment.

5. What We Expect From You

You agree to:

• Give us accurate business entity information
• Let us know if your entity name, address, or contacts change
• File required state documents (agent changes, amendments) with the Secretary of State
• Review and respond to forwarded documents in a timely manner
• Use our Services for lawful purposes only

6. How We Handle Documents

We accept documents at your registered address during normal business hours. Received documents are scanned and forwarded electronically, usually the same day. We do not read, interpret, or act on document contents. Physical originals are stored temporarily and then securely destroyed.

7. We Are Not a Law Firm

Missouri Registered Agent.co does not provide legal advice, tax guidance, or business formation services. Nothing in our Services constitutes professional counsel. For legal or tax questions, consult a licensed professional.

8. Liability Limits

To the fullest extent allowed by Missouri law:

• Our total liability for any claim cannot exceed the fees you paid in the preceding 12 months
• We are not liable for indirect, consequential, incidental, special, or punitive damages
• We are not responsible for delays caused by forces beyond our control (postal delays, natural disasters, system outages)
• We are not liable for consequences of your failure to act on documents we forwarded

9. Indemnification

You agree to hold harmless Missouri Registered Agent.co, its owners, employees, and agents from claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of Services, violation of these Terms, or your business activities.

10. Cancellation

Cancel anytime by emailing support@missouriregisteredagent.co. Effective at the end of your current term. No partial refunds except at our discretion. You must designate a replacement registered agent with the Secretary of State upon or before cancellation.

11. Our Right to Terminate

We may end Services if you breach these Terms, use Services unlawfully, or fail to pay after notice. We will give reasonable notice and cooperate with your agent transition.

12. Governing Law

These Terms are governed by Missouri law. Disputes shall be resolved in courts located in Jackson County, Missouri.

13. Changes to Terms

We may revise these Terms from time to time. Updates are posted here with a new effective date. Continued use after posting constitutes acceptance.

14. Severability

If any provision is found unenforceable, the rest of these Terms remains intact.

15. Entire Agreement

These Terms and our Privacy Policy are the complete agreement between you and Missouri Registered Agent.co regarding the Services.
